Scope & Binding Nature
These Guidelines apply to every individual and entity that creates, publishes, streams, distributes, or otherwise disseminates content through, in connection with, or on behalf of the Orno platform (collectively, “Platform Activities”), including without limitation all sponsored content, organic content posted by enrolled Creators, livestream broadcasts, pre-recorded videos, social media posts, community forum contributions, direct messages sent through Orno’s messaging infrastructure, and any other communication reasonably attributable to a Participant’s association with Orno.
By accepting an invitation, executing an agreement, accessing the Partner Portal, or otherwise engaging in Platform Activities, each Participant irrevocably consents to be bound by these Guidelines as a material term of the contractual relationship with Orno. These Guidelines are incorporated by reference into, and form an integral part of, the Orno Master Services Agreement (“MSA”), Creator Sponsorship Agreement, and any other agreement between the Participant and Orno. In the event of any conflict between these Guidelines and such agreements, the more restrictive standard shall govern.
Orno reserves the absolute and unilateral right to interpret, apply, and enforce these Guidelines in its sole discretion. Orno’s failure to enforce any provision at any time shall not constitute a waiver of that provision or of Orno’s right to enforce it subsequently.
Defined Terms
For purposes of these Guidelines, the following terms shall have the meanings ascribed below. Terms not defined herein shall have the meanings set forth in the MSA or, if undefined therein, their ordinary meaning in the context of influencer marketing and digital content creation.
“Content”

“Harmful Content”

“Platform”
means the Orno website, Partner Portal, API integrations, messaging systems, and all associated services, applications, and infrastructure operated by or on behalf of Orno LLC.
“Strike”
means a formal documented violation of these Guidelines recorded against a Participant’s account, which contributes to escalation on the Enforcement Ladder as described in Section 11.
Core Values & Community Principles
The Orno community is founded upon the following non-negotiable principles, each of which informs the interpretation and enforcement of every other provision of these Guidelines:
- Authenticity: Participants shall at all times represent themselves, their experiences, and their opinions truthfully. Fabrication, embellishment, or misrepresentation of material facts constitutes a fundamental breach of community trust.
- Respect: Every interaction within the Orno ecosystem shall be conducted with dignity, civility, and mutual respect regardless of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age, veteran status, or any other protected characteristic.
- Safety: The physical and psychological safety of all community members, viewers, and third parties is paramount. No Content or conduct that creates a reasonable apprehension of harm shall be tolerated.
- Compliance: Participants shall comply with all applicable local, state, federal, and international laws, regulations, and industry standards, including without limitation the FTC Endorsement Guides, platform-specific terms of service, and Orno’s own policies.
- Professionalism: Creators operating within the Orno network are representatives of both themselves and the Brands they serve. Professional conduct, timeliness, and reliability are mandatory expectations.
- Accountability: Participants accept responsibility for all Content they create, publish, or distribute, and for the reasonably foreseeable consequences thereof.
Prohibited Content
Participants are strictly prohibited from creating, uploading, streaming, distributing, linking to, or otherwise making available any Content that falls within any of the following categories. This prohibition applies regardless of whether the Content is produced in connection with a sponsored campaign or created independently while enrolled in the Orno program:
Zero-Tolerance Categories
THE FOLLOWING CATEGORIES ARE SUBJECT TO IMMEDIATE, PERMANENT TERMINATION WITHOUT WARNING, FORFEITURE OF ALL EARNED AND UNEARNED COMPENSATION, AND MANDATORY REFERRAL TO LAW ENFORCEMENT WHERE APPLICABLE. NO APPEAL SHALL BE ENTERTAINED FOR VIOLATIONS IN THESE CATEGORIES.
Content that promotes, incites, or glorifies hatred, violence, or discrimination against any individual or group based on race, ethnicity, national origin, immigration status, religion, sex, gender, gender identity, sexual orientation, disability, disease, age, veteran status, caste, or any other protected characteristic under federal, state, or international law. This includes slurs, dehumanizing language, conspiracy theories targeting protected groups, coded language reasonably understood as hateful, and content denying well-documented atrocities or genocides.
Content that targets individuals or identifiable groups with the intent or effect of intimidating, degrading, humiliating, or silencing, including repeated unwanted contact, sexual harassment, coordinated harassment campaigns (raids), swatting threats, threats of physical violence, credible threats to property, stalking behavior, and non-consensual distribution of intimate images (18 U.S.C. § 1801 et seq.).
Content that depicts, promotes, glorifies, or incites real-world violence, terrorism, mass casualty events, or acts of physical harm. This includes instructions for manufacturing weapons or explosives, recruitment material for violent extremist organizations, celebration of violent acts, and gratuitously graphic depictions of injury, death, or torture. Legitimate educational, documentary, or newsworthy content may be excepted only with prior written approval from Orno’s Trust & Safety team and appropriate content warnings.
Any Content that sexually exploits, depicts, or endangers minors, including but not limited to imagery, video, audio, text, illustrations, or AI-generated material depicting minors in sexual situations; grooming behavior; solicitation of minors; trading or distribution of CSAM; and any content that sexualizes minors regardless of stated artistic intent. Orno maintains a mandatory reporting obligation under 18 U.S.C. § 2258A and will report all such content to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement agencies without exception.
Content that disseminates demonstrably false or materially misleading claims regarding public health (including vaccine safety, disease transmission, and medical treatments), electoral integrity, civic processes, financial fraud schemes, or emergency situations where such misinformation poses a material risk of real-world harm. This prohibition extends to deepfakes, manipulated media, and AI-generated content designed to deceive viewers regarding its authenticity or source, as well as content amplifying conspiracy theories that target identifiable individuals with unfounded accusations.
Content that promotes, facilitates, instructs, or depicts engagement in illegal activity, including but not limited to drug trafficking, sale of controlled substances, human trafficking, money laundering, fraud, identity theft, hacking, piracy, counterfeiting, unlicensed gambling, prostitution, and trafficking in firearms in violation of 18 U.S.C. § 922. Content promoting regulated goods (tobacco, alcohol, cannabis, firearms) must comply with all applicable federal and state advertising regulations and age-gating requirements.
Content that promotes, glorifies, or provides instructions for self-harm, suicide, eating disorders, or other dangerous behaviors. Content that shares personal recovery experiences in a responsible, educational manner with appropriate content warnings and crisis resources (e.g., 988 Suicide & Crisis Lifeline) may be permitted at Orno’s sole discretion.
Prohibited Conduct
In addition to the Content prohibitions set forth in Section 4, Participants are strictly prohibited from engaging in any of the following conduct, whether directly, indirectly, through third-party services, automated tools, or coordinated action with others:
Purchasing, selling, exchanging, or otherwise artificially inflating followers, subscribers, views, watch time, likes, comments, shares, or any other engagement metric through bots, click farms, engagement pods, follow-for-follow schemes, view loops, or any other artificial means. This prohibition includes participation in third-party services (including but not limited to so-called “SMM panels”) that offer metric inflation regardless of the platform on which such inflation occurs.
Deploying bots, scripts, browser extensions, or automated tools to simulate human engagement, auto-comment, auto-follow, scrape user data, bypass rate limits, manipulate algorithmic distribution, or perform any action that would not be possible through genuine human interaction. Authorized scheduling tools (e.g., platform-approved posting schedulers) are excluded from this prohibition provided they do not engage in metric inflation.
Creating accounts, profiles, or content that impersonates Orno, any Orno employee or officer, any Brand Partner, any other Creator, any public figure, or any third party in a manner likely to deceive or mislead. This includes using similar names, logos, branding, voice synthesis, or AI-generated likenesses without explicit written authorization.
Publishing, distributing, or threatening to publish personally identifiable information (“PII”) of any individual without their explicit consent, including but not limited to home addresses, phone numbers, email addresses, government identification numbers, financial information, workplace details, school information, IP addresses, or the real-world identities of pseudonymous individuals. This prohibition extends to encouraging others to locate, contact, or visit such individuals.
Creating new accounts, using alternate identities, or employing technical means (VPNs, proxy servers, device spoofing) to circumvent any suspension, restriction, or ban imposed by Orno. Assisting others in circumventing enforcement actions is equally prohibited and subject to independent sanctions.
Operating multiple Orno accounts without prior written authorization, or failing to disclose material business relationships, ownership interests, or financial arrangements with other Participants, Brands, or competing platforms that could reasonably create conflicts of interest or undermine the integrity of campaign performance data.
Brand Safety Standards
Creators enrolled in the Orno network represent not only themselves but also the Brands with whom they are partnered and the Orno platform itself. Accordingly, Creators shall adhere to the following brand safety standards at all times during an active sponsorship engagement and for a period of ninety (90) days following the conclusion of any campaign:
- Creators shall not publish Content that a reasonable brand marketer would deem materially injurious to brand reputation, consumer trust, or advertising suitability, as determined by reference to the Global Alliance for Responsible Media (GARM) Brand Safety Floor and Suitability Framework;
- Creators shall not engage in public controversies, feuds, or altercations (including “drama” or “call-out” content) that could foreseeably result in negative press coverage, advertiser boycotts, or platform demonetization;
- Creators shall ensure that no sponsored Content is placed adjacent to, intercut with, or immediately preceded or followed by Content falling within the GARM “High Risk” or “Floor” categories;
- Creators shall promptly comply with reasonable brand safety directives issued by Orno or the Brand Partner, including requests to remove, edit, or re-schedule Content within twenty-four (24) hours of receipt of such directive;
- Creators shall not disparage, defame, or make materially false statements regarding any current or former Brand Partner, or publicly disclose confidential commercial terms, compensation amounts, or internal communications without prior written consent.
Brand Safety Liability Notice
CREATORS WHO VIOLATE BRAND SAFETY STANDARDS MAY BE HELD FINANCIALLY LIABLE FOR ALL DAMAGES SUFFERED BY ORNO AND/OR THE AFFECTED BRAND PARTNER, INCLUDING BUT NOT LIMITED TO LOST REVENUE, CAMPAIGN CANCELLATION FEES, REPUTATIONAL HARM, AND ATTORNEYS’ FEES, PURSUANT TO THE INDEMNIFICATION PROVISIONS OF THE MSA.
Professional Conduct Requirements
Each Participant shall conduct themselves with the professionalism and diligence reasonably expected of an independent contractor performing services in the influencer marketing industry, including without limitation:
- Responding to all official Orno communications (emails, Partner Portal messages, campaign briefs) within forty-eight (48) hours of receipt during standard business days;
- Meeting all content delivery deadlines specified in campaign briefs, or providing notice of anticipated delay not less than seventy-two (72) hours prior to the deadline;
- Maintaining accurate and current contact information, tax documentation, and payment details within the Partner Portal;
- Refraining from publicly disparaging Orno, its officers, employees, or affiliated entities in any medium;
- Conducting all interactions with Brand Partners, Orno staff, and fellow Creators with courtesy, honesty, and respect;
- Complying with all reasonable revision requests and content approval workflows within the timelines specified in the applicable campaign brief;
- Maintaining the confidentiality of all non-public information, trade secrets, and proprietary business information of Orno and its Brand Partners.
Livestream & Real-Time Content Rules
Given the inherently uncontrolled nature of live broadcasting, Creators engaging in livestream content subject to Orno sponsorship shall observe the following heightened standards:
- Creators shall implement reasonable content moderation measures, including chat moderation bots, human moderators, and/or automated word filters, to prevent the display of Harmful Content in chat overlays visible during sponsored segments;
- Creators shall not consume alcohol, cannabis, or any controlled substance to the point of visible intoxication during any sponsored segment, and shall not encourage or normalize excessive consumption to viewers;
- Creators shall exercise reasonable judgment to avoid inadvertent display of inappropriate content through browser windows, notifications, desktop alerts, or secondary displays;
- In the event that Harmful Content or a violation of these Guidelines occurs during a livestream (whether originated by the Creator, a moderator, a guest, or a viewer through donation alerts, text-to-speech, or similar mechanisms), the Creator shall immediately address the situation, remove or obscure the offending content, and report the incident to Orno within twenty-four (24) hours;
- Creators shall not engage in “hate raids,” coordinated harassment campaigns, or directing their audience to harass, troll, or disrupt other streamers or individuals;
- All livestream sponsorship disclosures shall comply with the Orno FTC Compliance Policy, including persistent on-screen overlays and verbal disclosures at intervals not exceeding twenty (20) minutes.
Intellectual Property Respect
Participants shall respect the intellectual property rights of all third parties, including copyrights, trademarks, trade secrets, patents, and rights of publicity. Without limitation, Participants shall not:
- Use, reproduce, distribute, or display copyrighted material (including music, video clips, images, software, and literary works) without proper license, authorization, or a legitimate fair use defense as articulated under 17 U.S.C. § 107;
- Use trademarks, service marks, trade dress, or brand assets of any third party in a manner likely to cause confusion, deception, or dilution under the Lanham Act (15 U.S.C. § 1051 et seq.);
- Misappropriate trade secrets or confidential business information of Orno, any Brand Partner, or any third party;
- Engage in content theft, freebooting, or unauthorized re-upload of another Creator’s original work;
- Submit DMCA counter-notifications (17 U.S.C. § 512(g)) in bad faith or file fraudulent DMCA takedown notices against competitors or critics;
- Use AI-generated content tools (including large language models, image generators, and voice synthesizers) to create works that infringe upon the copyrights, likeness rights, or publicity rights of identifiable third parties without explicit authorization.
Orno shall comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) and will respond promptly to valid DMCA takedown notifications. Repeat infringers shall be subject to permanent termination in accordance with 17 U.S.C. § 512(i).
Reporting & Complaints
Orno maintains a confidential reporting mechanism for violations of these Guidelines. Any individual — whether a Participant, viewer, Brand Partner, or third party — may report suspected violations through the following channels:
Reporting Channels
- Email: ethics@orno.io
- Partner Portal: Trust & Safety Ticket (Category: “Community Violation Report”)
- Mail: Orno LLC, Office of Ethics & Compliance, 555 Winderley Place, Maitland, FL 32751
All reports shall be reviewed by the Trust & Safety team within seventy-two (72) hours of receipt. Orno shall make reasonable efforts to maintain reporter confidentiality, subject to legal obligations and the requirements of due process. False reports submitted in bad faith, for purposes of harassment, or to gain competitive advantage shall themselves constitute a violation of these Guidelines and subject the reporter to enforcement action.
Orno prohibits retaliation against any individual who, in good faith, reports a suspected violation. Any attempt to intimidate, threaten, or take adverse action against a reporter shall constitute an independent and aggravating violation subject to escalated enforcement.
Enforcement Ladder
Orno employs a graduated enforcement framework (the “Enforcement Ladder”) to address violations of these Guidelines. The following tiers represent the general progression of enforcement actions; however, Orno reserves the absolute right to escalate directly to any tier, including permanent termination, based on the severity, intentionality, and impact of the violation:
A formal written notice identifying the violation, the applicable provision(s) of these Guidelines, and the corrective action required. Warnings are permanently recorded on the Participant’s account. The Participant shall have seventy-two (72) hours to acknowledge receipt and implement corrective action.
Suspension of access to the Partner Portal, withholding of pending payments, removal from active campaign eligibility, and prohibition on publishing new Content in connection with Orno during the suspension period. Duration shall be commensurate with the severity of the violation.
Extended removal from the Orno network with forfeiture of campaign eligibility, withholding of compensation for any Content produced during or contributing to the violation, and mandatory completion of remedial actions (e.g., compliance training, public correction) as a condition of reinstatement.
Irrevocable termination of the Participant’s relationship with Orno, permanent removal from the Creator roster, and permanent ineligibility for future enrollment. All associated accounts, alternate identities, and affiliated entities shall be simultaneously terminated.
In addition to permanent ban, forfeiture of all earned but unpaid compensation, clawback of compensation previously paid for Content found to be in violation, and pursuit of all available legal remedies including claims for damages, indemnification, and injunctive relief. Referral to law enforcement agencies for criminal violations (e.g., CSAM, fraud, threats) shall be mandatory.
Forfeiture Warning
PARTICIPANTS ACKNOWLEDGE AND AGREE THAT COMPENSATION FORFEITURE AND CLAWBACK UNDER TIERS 3–5 IS A CONTRACTUAL REMEDY AND NOT A PENALTY. BY ACCEPTING THESE GUIDELINES, EACH PARTICIPANT WAIVES ANY CLAIM THAT SUCH FORFEITURE CONSTITUTES AN UNENFORCEABLE PENALTY OR LIQUIDATED DAMAGES PROVISION.
Appeals Process
Participants subject to enforcement action at Tier 2 or above may submit a written appeal, subject to the following conditions and procedures:
- Appeals must be submitted in writing to ethics@orno.io within fourteen (14) calendar days of receipt of the enforcement notification. Failure to submit a timely appeal shall constitute a waiver of appeal rights.
- The appeal shall specify the grounds for challenge, which shall be limited to: (a) factual error (the violation did not occur as described); (b) misidentification (the appellant was not responsible for the violation); (c) procedural irregularity (Orno failed to follow its stated enforcement procedures); or (d) disproportionate sanction (the enforcement action is grossly disproportionate to the violation). General disagreement with the policy or subjective fairness arguments shall not constitute valid grounds for appeal.
- Orno shall review the appeal within thirty (30) calendar days and issue a written determination. The review shall be conducted by an individual who was not involved in the original enforcement decision.
- Orno’s appeal determination shall be final and binding. No second-level appeal, arbitration, or judicial review of the determination shall be available except as required by mandatory applicable law.
- The filing of an appeal shall not stay or suspend the enforcement action pending the appeal determination, unless Orno, in its sole discretion, elects to grant a stay.
Appeals related to zero-tolerance categories (Section 4.4 — CSAM) shall not be entertained under any circumstances. Appeals related to Sections 4.1–4.3 and 4.6 shall be entertained only where the appellant can demonstrate clear and convincing evidence of factual error or misidentification.
Amendments & Severability
Orno reserves the right to amend, supplement, or replace these Guidelines at any time and from time to time, effective upon publication on the Orno website or, in the case of material amendments, upon thirty (30) days’ written notice to active Participants via the email address on file. Continued participation in Platform Activities following the effective date of any amendment shall constitute irrevocable acceptance of the amended Guidelines.
If any provision of these Guidelines is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect. The severed provision shall be reformed to the minimum extent necessary to render it enforceable while preserving the original intent of the parties.
These Guidelines shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts-of-law principles. Any dispute arising out of or relating to these Guidelines shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.
